Exclusive negotiations have commenced between Warner Bros Discovery and the streaming behemoth for a blockbuster acquisition of its core studio and streaming operations, a move that could dramatically alter the entertainment industry landscape.
An Intense Competition
Netflix is said to be competing against other industry titans like Paramount Skydance and the cable giant, the owner of Universal Studios and Sky, for ownership of the legendary Warner Bros studio, the premium HBO network, and the HBO Max streaming platform.
Sources indicate Netflix has offered a substantial termination penalty of £3.7 billion should the deal not obtain antitrust approval in the US.
The Offer Picture
As the company's stock sitting around approximately $24 per share, its overall market cap is estimated at roughly $60 billion. It is believed Netflix's offer is between $28 and $30 per share, which suggests a total bid value in the range of $70 billion to $75 billion.
Analysts have cautioned that this consolidation could trigger major antitrust concerns, as it would unite two of the largest subscription platforms in the United States.
Commitments and Corporate Restructuring
In its proposal, the streamer has provided assurances that the Warner Bros film studio, home to major franchises like Batman and Harry Potter, would continue to enjoy broad cinema distribution.
Before a final agreement, Warner Bros Discovery is planning to finalize a pre-arranged separation of its cable television channels, such as CNN, TBS, and TNT.
An Entertainment Powerhouse
Should the deal proceed, Netflix would become the owner of the acclaimed HBO, the maker of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an vast library of beloved TV series.
The studio formally initiated its sale process last fall following interest from several interested parties.
Industry Concerns
The potential sale has not been without controversy. Esteemed director James Cameron, director of Titanic and the Avatar series, stated this week that a Netflix acquisition could lead to a "significant erosion of long-term value" for the broader entertainment industry.
Initially, Paramount Skydance was viewed as the early favorite. It had similarly proposed a $5 billion termination fee if regulatory hurdles.
Claims Regarding an Unfair Process
This week, the rival bidder argued in a letter that its offer was the most likely to gain regulatory clearance. Additionally, the company accused Warner Bros of conducting an "biased sales process" that favored its competitor, labeling it "compromised" in official documents.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the ongoing negotiations.
